1. Agreement to Terms
By accessing or using the services provided by The Ordinary Company ("Company", "we", "our", or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.
2. Services
The Ordinary Company provides software development services including but not limited to MVP development, legacy system modernization, web and mobile application development, and technical consulting. Specific terms for individual projects will be outlined in separate project agreements.
3. Client Responsibilities
As a client, you agree to:
- Provide accurate and complete information about your project requirements
- Respond to communications and provide feedback in a timely manner
- Make payments according to agreed-upon terms
- Respect intellectual property rights and confidentiality agreements
4. Intellectual Property
Upon full payment, clients receive ownership of the custom code developed specifically for their project. We retain rights to our pre-existing tools, frameworks, and methodologies. Specific IP terms will be detailed in individual project agreements.
5. Payment Terms
Payment terms, including rates, schedules, and methods, will be specified in individual project proposals or contracts. Unless otherwise agreed, invoices are due within 14 days of issuance.
6. Confidentiality
Both parties agree to maintain confidentiality of sensitive business information shared during the course of our engagement. This includes project details, business strategies, and technical implementations.
7. Limitation of Liability
To the maximum extent permitted by law, The Ordinary Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of our services. Our total liability shall not exceed the amount paid by you for the specific service giving rise to the claim.
8. Termination
Either party may terminate our engagement with written notice as specified in individual project agreements. Upon termination, client shall pay for all work completed up to the termination date.
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of Serbia, without regard to its conflict of law provisions.
10. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of significant changes by updating the "Last updated" date. Continued use of our services after changes constitutes acceptance of the new terms.
